This Terms of Service agreement (“Terms”, “Agreement”) governs your access to and use of our websites, mobile applications, custom software solutions, API integrations, and technology intermediary platforms, including our capacity as a Meta Tech Provider (“Services”).
By signing up, accessing, installing, integrating, or utilizing our Services, you (“Client”, “User”) agree that you have read, understood, and consented to be legally bound by these Terms and our Privacy Policy. If you are entering into this Agreement on behalf of a company, corporate entity, or organization, you represent and warrant that you hold full legal authority to bind that entity.

2Meta Tech Provider & WhatsApp Business Specific Terms
As a recognized technology partner (Meta Tech Provider), Katalis Kreasi provides the software bridge facilitating communication between Client systems and Meta APIs. Clients deploying WhatsApp Business or other Meta integrations must adhere to the following mandatory stipulations:
Full Compliance with Meta Platform Terms
Clients must strictly read, understand, and adhere to all official policies enacted by Meta, including the Meta Platform Terms, Meta Developer Policies, WhatsApp Business Messaging Policy, and Meta Commerce Policies. Any violation of Meta's policies constitutes a material breach of this Agreement.
Mandatory Prior Opt-In Consent
Clients represent and warrant that every recipient contacted through WhatsApp Business messaging has expressly provided verifiable, prior opt-in consent to receive communications from the Client. Cold messaging, purchased contact databases, or unsolicited commercial broadcasts are strictly forbidden.
Separation of Meta Official Conversation Charges
Software integration, license, and maintenance fees charged by Katalis Kreasi are independent of and separate from Meta's official conversation-based charges. Clients remain solely liable for all official WhatsApp Business conversation fees billed by Meta Platforms directly or passed through compliant billing channels.
3Acceptable Use Policy & Prohibited Conduct
In utilizing our Services and APIs, Clients and Users are strictly prohibited from:
- Transmitting spam, deceptive communications, phishing attempts, pyramid schemes, or unsolicited bulk promotional messages.
- Distributing unlawful materials, defamatory statements, hate speech, pornography, unlicensed pharmaceuticals, firearms, tobacco products, or illegal gambling content under applicable Indonesian and international laws.
- Reverse-engineering, decompiling, disassembling, or copying underlying source code, proprietary algorithms, or security mechanisms of the Services.
- Reselling, sublicensing, or transferring API access credentials or integration software to third parties without prior written authorization from Katalis Kreasi.
- Infringing upon any third party's intellectual property, privacy, or publicity rights.
4Account Credentials & API Security
Clients are entirely responsible for safeguarding access credentials, API keys, Meta Business Manager permissions, and WhatsApp Business Account (WABA) tokens. Any activity or message dispatch conducted under Client credentials shall be deemed executed by the Client. Clients must immediately inform Katalis Kreasi in writing upon discovering any compromise of credentials or unauthorized access.
5Intellectual Property Rights
All copyrights, trademarks, patents, software frameworks, code libraries, interface designs, and technical documentation authored or provided by PT Katalis Kreasi Teknologi remain the sole intellectual property of Katalis Kreasi or its licensors. Client-owned business data, logos, customer lists, and trademarks remain the exclusive property of the Client.
6Service Availability & Limitation of Liability
Our Services are supplied on an “as is” and “as available” basis. Katalis Kreasi undertakes reasonable commercial efforts to ensure uptime and performance. However, Clients explicitly acknowledge and agree that:
- The Services inherently depend on third-party telecommunication infrastructure, cloud hosting environments, and Meta Platforms Technologies (including WhatsApp Cloud API availability and Meta server operations).
- Katalis Kreasi shall not be liable for indirect damages, lost revenue, lost profits, delayed messages, or account quality downgrades/suspensions imposed autonomously by Meta on Client accounts.
- To the maximum extent permitted by applicable law, Katalis Kreasi's aggregate liability for all claims arising out of this Agreement shall be limited to the total fees paid by the Client to Katalis Kreasi in the 1 (one) month immediately preceding the event giving rise to liability.
7Suspension and Termination
Katalis Kreasi reserves the right to immediately suspend, throttle, or terminate Client access to the Services without prior liability if: (a) Client materially violates these Terms or official Meta developer policies; (b) Client's messaging activities trigger excessive spam reports, high bounce rates, or policy flags from Meta; (c) Client fails to settle overdue service invoices after written notice; or (d) Such action is mandated by lawful court orders, governmental bodies, or telecommunications regulators.
8Confidentiality & Personal Data Protection
Both parties agree to protect proprietary and confidential information disclosed during the service lifecycle. Personal data handling is governed by our Privacy Policy and compliant with Indonesian Law No. 27 of 2022 on Personal Data Protection (UU PDP) as well as international best practices.
9Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to this Agreement shall be governed by and construed exclusively under the laws of the Republic of Indonesia. The parties shall make good-faith efforts to amicably resolve any dispute within 30 (thirty) calendar days. Should amicable resolution fail, the dispute shall be submitted to the exclusive jurisdiction of the competent District Court in Jakarta, Indonesia.
10Modifications to Terms
We may revise these Terms periodically to adapt to evolving technical capabilities, platform rules, or legal mandates.
